Important information

By joining the MonSiegeSocial partner programme, you accept these terms and conditions. Please read them carefully before registering.

Article 1: Definitions

Within the framework of these terms and conditions, the following terms have the meaning indicated below:

  • MonSiegeSocial: refers to BEPROSOFT VENTURE SPRL, a company incorporated under Belgian law, with its registered office at Boulevard de l'Empereur 10, 1000 Brussels, Belgium, registered in the register of legal entities under company number BE 0675.530.764.
  • Partner Programme: refers to the affiliation and commercial partnership programme offered by MonSiegeSocial.
  • Partner: refers to any natural or legal person who has joined the Partner Programme and been accepted by MonSiegeSocial.
  • Client: refers to any natural or legal person who subscribes to a MonSiegeSocial service through a Partner.
  • Commission: refers to the remuneration paid to the Partner for each Client they bring to MonSiegeSocial.
  • Affiliate link: refers to the unique URL assigned to each Partner to track referred Clients.

Article 2: Purpose

These terms and conditions are intended to define the terms and conditions under which MonSiegeSocial offers its Partner Programme, as well as the rights and obligations of the parties in this context.

The Partner Programme allows Partners to recommend MonSiegeSocial's business domiciliation and company formation services to their professional network and to receive a commission on the sales generated.

Article 3: Registration and acceptance

3.1. Registration conditions

To become a Partner, the applicant must:

  • Be a legally capable adult natural person or a duly incorporated legal person
  • Complete the online registration form on the MonSiegeSocial website
  • Provide accurate and up-to-date information
  • Unreservedly accept these terms and conditions

3.2. Registration validation

MonSiegeSocial reserves the right to accept or refuse any application to the Partner Programme, at its sole discretion and without being required to justify its decision.

Acceptance of the application will be notified to the Partner by email within a maximum of 5 working days.

3.3. Partner account

Once accepted, the Partner receives access to their secure personal space including:

  • Their unique affiliate link
  • Marketing and promotional tools
  • A performance tracking dashboard
  • Commission history

Article 4: Commissions

4.1. Commission rates

The Partner receives a commission on each sale generated through them, according to the following rates:

  • Business domiciliation: 15% of the amount excl. VAT for the first year
  • Company formation: 10% of the amount excl. VAT of the service
  • Combined services: commission calculated on each service individually
  • Renewals: 5% of the amount excl. VAT for renewals in the first 3 years

4.2. Calculation and validation

The commission is calculated on the amount excluding VAT paid by the Client. It is due only if:

  • The Client has actually paid for their service
  • The legal withdrawal period has expired without the withdrawal right being exercised
  • The contract has not been cancelled for any reason

4.3. Commission payment

Commissions are paid according to the following terms:

  • Frequency: Monthly payment on the 15th of the following month
  • Minimum amount: €50 in accumulated commissions to trigger a payment
  • Carry-over: If the threshold is not reached, the amount is carried over to the following month
  • Validation period: 30 days after the withdrawal period expires

4.4. Payment methods

Commissions can be paid by:

  • Bank transfer (SEPA)
  • PayPal

The Partner must provide valid bank or PayPal details in their personal space.

Article 5: Partner obligations

5.1. Compliant promotion

The Partner undertakes to:

  • Promote MonSiegeSocial services honestly and in accordance with reality
  • Use only marketing materials provided by MonSiegeSocial or previously approved
  • Not engage in misleading or deceptive advertising
  • Respect MonSiegeSocial's brand image and reputation

5.2. Prohibited uses

The Partner is expressly prohibited from:

  • Using spam or aggressive marketing methods
  • Purchasing advertising on the brand name "MonSiegeSocial" or its variants
  • Using cloaking, cookie stuffing or other fraudulent techniques
  • Presenting themselves as an employee or official representative of MonSiegeSocial without written authorisation
  • Creating fake client accounts to generate commissions

5.3. Confidentiality

The Partner undertakes to maintain the confidentiality of all commercial, technical or strategic information of MonSiegeSocial that they may become aware of.

5.4. Legal compliance

The Partner undertakes to comply with all applicable laws and regulations, including:

  • Data protection legislation (GDPR)
  • Competition rules
  • Advertising standards
  • Tax regulations

Article 6: MonSiegeSocial obligations

MonSiegeSocial undertakes to:

  • Provide the Partner with the tools and marketing materials necessary to promote the services
  • Make available a real-time performance tracking dashboard
  • Process the requests of referred Clients with the same care as other clients
  • Pay commissions within the agreed timeframes, subject to compliance with the conditions
  • Inform the Partner of any changes to the programme conditions with 30 days' notice
  • Provide technical and commercial support to assist Partners

Article 7: Intellectual property

7.1. Licence of use

MonSiegeSocial grants the Partner a non-exclusive, non-transferable and revocable licence to use its trademarks, logos and marketing materials, solely for the purpose of promoting the services and in accordance with these conditions.

7.2. Restrictions

The Partner may not modify, adapt or create derivative works of MonSiegeSocial's intellectual property elements without prior written authorisation.

Article 8: Duration and termination

8.1. Duration

This agreement enters into force on the date of acceptance of the Partner into the programme and is concluded for an indefinite period.

8.2. Termination by the Partner

The Partner may terminate their membership of the programme at any time, without notice or compensation, by submitting a request via their personal space or by email to partenaires@monsiegesocial.be.

8.3. Termination by MonSiegeSocial

MonSiegeSocial may terminate a Partner's membership, with 30 days' notice, in the event of:

  • Breach of these terms and conditions
  • Fraudulent use of the programme
  • Damage to MonSiegeSocial's image or reputation
  • Account inactivity for more than 12 consecutive months

In the event of a serious breach, termination may be immediate without notice or compensation.

8.4. Consequences of termination

On the date of termination:

  • The Partner immediately loses access to their personal space
  • The affiliate link is deactivated and no longer generates commissions
  • Validated and due commissions are paid according to the usual terms
  • Commissions pending validation are forfeited in the event of termination for cause
  • The intellectual property licence of use ends immediately

Article 9: Liability

9.1. Limitation of liability

MonSiegeSocial cannot be held liable for:

  • Indirect, intangible or consequential damages suffered by the Partner
  • Loss of revenue or profits by the Partner
  • Technical problems beyond its control (breakdowns, bugs, service interruptions)
  • Actions of Clients or third parties referred by the Partner

9.2. Partner liability

The Partner is solely responsible for their promotion methods and undertakes to indemnify MonSiegeSocial against any claim, complaint or legal action resulting from their actions.

9.3. Indemnification

The Partner undertakes to indemnify MonSiegeSocial for any loss, expense or cost (including legal defence fees) resulting from a breach of these conditions.

Article 10: Protection of personal data

MonSiegeSocial processes the Partner's personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Belgian legislation.

10.1. Data collected

The following data is collected: identity, bank details, tax information, login data and programme usage data.

10.2. Purposes of processing

This data is used for:

  • Managing the Partner account
  • Calculating and paying commissions
  • Performance tracking
  • Communicating with the Partner
  • Compliance with legal and tax obligations

10.3. Partner rights

The Partner has the right of access, rectification, erasure, restriction, objection and portability of their data. These rights can be exercised by contacting: privacy@monsiegesocial.be

Article 11: Modification of conditions

MonSiegeSocial reserves the right to modify these terms and conditions at any time. Modifications enter into force 30 days after notification by email to the Partner.

In the event of disagreement with the new conditions, the Partner may terminate their membership within this 30-day period. Failure to terminate constitutes acceptance of the new conditions.

Substantial changes to the commission rate are subject to 60 days' notice.

Article 12: Independence of the parties

The parties are and remain independent professionals. This agreement creates no relationship of subordination, mandate, representation, partnership or joint venture between the parties.

The Partner acts in their own name and on their own account. They cannot bind MonSiegeSocial without prior written authorisation.

Article 13: Tax provisions

The Partner is solely responsible for their tax and social obligations. They must declare the commissions received in accordance with applicable Belgian legislation.

MonSiegeSocial issues annual statements summarising the commissions paid, but does not withhold tax at source unless legally required to do so.

The Partner undertakes to provide their VAT number if they are subject to VAT.

Article 14: Disputes and applicable law

14.1. Applicable law

These terms and conditions are governed by and interpreted in accordance with Belgian law.

14.2. Amicable settlement

In the event of a dispute relating to the interpretation or performance of these conditions, the parties undertake to seek an amicable solution before taking any legal action.

14.3. Competent jurisdiction

Failing an amicable agreement, any dispute shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Brussels, Belgium.

Article 15: Miscellaneous provisions

15.1. Partial invalidity

If one or more provisions of these conditions are declared null or unenforceable, the other provisions retain their full force and effect.

15.2. Non-waiver

The fact that MonSiegeSocial does not invoke a breach by the Partner of one of the obligations set out herein shall not be interpreted as a waiver of the right to invoke such a breach at a later date.

15.3. Assignment

The Partner may not assign or transfer their rights and obligations without the prior written consent of MonSiegeSocial.

15.4. Entire agreement

These terms and conditions constitute the entire agreement between the parties and replace all previous agreements, arrangements or conventions.
