What is an SRL?

The Private Limited Company

The SRL (Société à Responsabilité Limitée / Private Limited Company) is the most popular legal form in Belgium since the reform of the Companies and Associations Code (CAC) in 2019. It replaces the former SPRL and offers great flexibility to entrepreneurs.

Unlike the former SPRL, the SRL no longer requires a minimum legal capital. The founders freely determine the amount of capital, which must however be "sufficient" for the intended activity.

The SRL is particularly suited for small and medium-sized businesses, start-ups, liberal professions and individual entrepreneurs wishing to limit their personal liability.

What is the minimum capital to form an SRL?

Since the CAC reform, there is no longer a minimum legal capital to form an SRL. However, you must have 'sufficient' capital for your activity, demonstrated in your financial plan.

How much does it cost to form an SRL?

The total cost includes our fees (from €899) and notary fees (approximately €1,000–1,500). Additional fees may apply depending on your specific needs.

How long does it take to form an SRL?

The average timeframe is 2 to 3 weeks, including document preparation, signing the notarial deed and registration with the CBE.

Can I form an SRL alone?

Yes, an SRL can be formed by a single associate (sole shareholder SRL). There is no requirement to have multiple associates.

What are the accounting obligations of an SRL?

An SRL must keep double-entry bookkeeping and file annual accounts with the National Bank of Belgium. Small companies benefit from a simplified scheme.

What is the difference between an SRL and an SA?

The SRL is more flexible and suited to SMEs, with fewer formalities than the SA. The SA is more suited to large companies, with a minimum capital of €61,500 and a more rigid structure.
