Personalised support for the formation of your Private Limited Company in Belgium.

A flexible legal structure suited for entrepreneurs and SMEs.
The SRL (Société à Responsabilité Limitée / Private Limited Company) is the most popular legal form in Belgium since the reform of the Companies and Associations Code (CAC) in 2019. It replaces the former SPRL and offers great flexibility to entrepreneurs.
Unlike the former SPRL, the SRL no longer requires a minimum legal capital. The founders freely determine the amount of capital, which must however be "sufficient" for the intended activity.
The SRL is particularly suited for small and medium-sized businesses, start-ups, liberal professions and individual entrepreneurs wishing to limit their personal liability.
Associates are only liable up to the amount of their contribution to the company.
No minimum legal capital, but sufficient capital for the activity.
Possibility of forming an SRL with a single associate (sole shareholder).
Structure suited to welcoming new investors and growing.
Discover the many advantages that the SRL structure offers for your business.
The SRL protects your personal assets from the risks associated with professional activity. Only the company's assets are at stake in case of difficulties.
No minimum legal capital, freedom in the distribution of shares and possibility of creating different share categories with specific rights.
Company status strengthens your professional image with clients, suppliers, banks and commercial partners.
Possibility of tax optimisation with corporate tax (reduced rate for SMEs) and deduction of many professional expenses.
The transfer of shares or the transmission of the company to heirs is simplified compared to a sole proprietorship.
The SRL has its own legal existence that continues independently of changes in associates, ensuring business continuity.
