What is an ASBL?

An ASBL (Association Sans But Lucratif – Non-Profit Association) is a legal form governed by the Code of Companies and Associations (CSA) that allows activities to be carried out without seeking to enrich its members.

Since the CSA reform in 2019, an ASBL may carry out commercial activities without limitation, provided that the profits are allocated exclusively to the achievement of its non-profit purpose.

The ASBL is particularly suited to associative, cultural, sporting, educational, humanitarian or social projects that require an official legal structure with limited liability for its members.

How many members are needed to create an ASBL?

Since the CSA reform of 2019, only 2 founding members are required to create an ASBL in Belgium, compared to 3 previously.

What is the cost of creating an ASBL?

The total cost includes our fees (from €599) and the publication costs in the Belgian Official Gazette (approximately €190). Additional fees may apply depending on your specific needs.

How long does it take to create an ASBL?

The average timeframe is 1 to 2 weeks, including document preparation, the constitutive assembly, filing with the court and registration with the CBE.

Can an ASBL carry out commercial activities?

Yes, since the CSA reform, an ASBL may carry out commercial activities without limitation, as long as the profits are entirely allocated to the achievement of the association's non-profit purpose.

What are the accounting obligations of an ASBL?

Accounting obligations depend on the size of the ASBL. Small ASBLs may keep simplified accounts, while large ASBLs must keep double-entry accounts and file their annual accounts with the NBB.

What is the difference between an ASBL and an AISBL?

An AISBL (International Non-Profit Association) is dedicated to international projects and is established by authentic deed. It requires royal recognition, unlike the ASBL which has a simpler constitution procedure.
